Terms and Conditions

These Terms and Conditions ("Terms") govern your use of SimpliSuite ("we", "us", "our"), a cloud-based and self-hosted business management platform providing CRM, billing, staff management, contracts and other related tools ("the Service").
By creating an account, starting a free trial, or otherwise using SimpliSuite, you ("you", "your", "user", "tenant") agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be 18 years of age or older and legally capable of entering into a binding contract under the laws of England and Wales. By registereing, you confirm that all information you provided is true and accurate.
2. Account Registration
- Tenants create their own accounts via our website or application. Each tenant may add multiple authorised users.
- You are responsible for maintaining confidentiality of your login credentials and for all activity occuring under your account
- We reserve the right to suspend or terminate any account that violates these Terms or applicable law.
3. Free Trail
- We offer a 14-day free trail of the service.
- Payment details are required at sign-up. At the end of the trail, your subscription will automatically continue unless you cancel before the trial period ends.
- We may withdraw or modify the trial off any any time.
4. Subscription and Payment
- Subscriptions are billing monthly in advance via Stripe
- No Refunds are offered once payment has been processed.
- Prices are currently exclusive of VAT. If VAT becomes applicable in the future, it will be charged at the prevailing rate.
- If a payment fails, we will retry once within five (5) days. If it fails again, your account will be suspended.
- Subscriptions may be cancelled at any time with 30 days' notice. Upon cancellation, your account and data will be deleted upon your next renewal date.
5. Use of the service
You agree not to:
- Use the Service for any unlawful purpose or to host, share, or transmit illegal, harmful, or infinging content.
- Send unsolicited communications (spam).
- Resell, lease, or sublicense acess to SimpliSuite.
- Interfere with or disrupt out servers, network, or other users.
- Circumvent or attempt to reverse engineer any part of the software.
You are responsible for ensuring that any content you upload complies with applicable laws.
6. Self-Hosted Version
- Self-hosted installations of SimpliSuite are licensed, not sold.
- You are granted a limited, non-exclusive, non-transferable license to install and use the software for your own business operations.
- You may not modify, redistribute, or remove any SimpliSuite branding or proprietary notices without our written consent.
- You are solely responsible for hosting, maintenance, security and backups of your self-hosted insallation.
- We provide no uptime or performance guarantee for self-hosted versions.
7. Service Availability
- For the cloud platform, we aim for 99.99% uptime.
- Support is available via email: Monday to Friday: 09:00 to 18:00, Saturday and Sunday: 10:00 to 16:00 (UK Time)
- We aim to respond to all support requests within 60 minutes during support hours.
- Future support channels, such as ticketing, in-app chat, and paid phone support, may be added in the future.
8. Third-Party Services
- The Service integrates with third-party tools, including Stripe, Google and others.
- We are not responsible or liable for downtime, data loss, or other issues caused by any third-party provider or integration.
- Your use of such third-party services is governed by their own terms and privacy policies.
9. Data Protection and Privacy
- We process personal and business data in accordance with UK GDPR and the Data Protection Act 2018.
- You remain the data controller of any personal data you upload. We act as a data processor for cloud-based tenants.
- We do not transfer data outside the UK without appropriate safeguards.
- You are responsible for backuping up your own data. Optional paid backup services may be offered in the future.
- Upon cancellation or termination, all tenant data will be immediately and irreversibly deleted.
A separate Privacy Policy describes in detail how we handle personal information.
10. Intellectual Property
- All software, design, branding, and related materials forming part of SimpliSuite is owned by us or our licensors.
- You retain ownership of any content, data, or materials you upload.
- By using the Service, you grant us limited license to host and process your content as necessary to provide th Service.
11. Markerting and Communications
By using SimpliSuite, you consent to receiving service-related notices, product updates, and marketing communications. You may opt out of non-essential emails at any time
12. Confidentiality
Both parties agree to keep confidential any business, technical, or personal information obtained through the use of the Service, expect where disclosure is required by law.
13. Limitation of Liability
- To the fullest extent permitted by law, SimpliSuite shall not be liable for:
- Loss of profits, revenue or business.
- Loss or corruption of data
- Business interruption
- Any indirect, incidental, or consequential loss.
- Our total liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim.
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded under English Law.
14. Warranties and Disclaimers
The Service is provided on an "as-is" and "as-available" basis. While we strive for reliability, we make no guarantees that the Service will be uninterrupted or error-free. You use SimpliSuite at your own risk.
15. Force Majeure
We shall not be liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including but not limited to natural disasters, power failure, internet disruptions, war, strikes, pandemics, or government restrictions.
16. Termination
- You may cancel your subscription at any time with 30 days' notice.
- We may suspend or terminate your account immediately if you breach these Terms or fail to pay fees after the grace period.
- Data deletion is immediate and irreversible upon termination.
17. Modifications of the Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notices at least 14-days before they take effect. Continued use after the date constitues acceptance of the revised Terms.
18. Governing Law and Jurisdiction
These Terms are governed by law and construed in accordance with the laws of England and Wales. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the court of England and Wales.
